Terms of Service
We know. Nobody reads Terms of Service. But these exist to protect both of us — you from us doing something unreasonable, and us from someone using FLO to send spam at 3am. Everybody wins.

1. The Service
FIDUS FLO is a software platform for marketing and sales operations — CRM, WhatsApp automation, email, landing pages, workflow automation, LMS, and optional AI features. It is operated by Fidus Synergies LLP, Mohali, India (GSTIN: 03AAKFF2104Q1ZH).
When we say "the platform," we mean FLO. When we say "you," we mean your business and everyone on your team using your account.
2. Eligibility & Account Responsibility
By signing up, you confirm that you are authorised to enter into a binding agreement on behalf of your business. That means:
- You keep your login credentials confidential (yes, "password123" counts as your fault)
- Everything that happens under your account is your responsibility — including what your team does with it
- You must be at least 18 years of age to use the service
- You represent a legitimate business operating within applicable laws
3. Acceptable Use
FLO is built for genuine business communication — not bulk spam, not harassment, not anything that would make a reasonable person uncomfortable. You agree not to use FLO to:
- Send unsolicited messages or spam of any kind
- Violate WhatsApp/Meta WABA policies or any applicable messaging platform rules
- Distribute illegal, harmful, hateful, or deceptive content
- Collect or share personal data without proper consent and legal basis
- Conduct phishing campaigns, distribute malware, or impersonate others
- Circumvent any platform limits or safeguards

4. Payments & Third-Party Charges
- Subscriptions are billed as per the plan you select. Pricing is shown at fidusflo.com/pricing.php
- Payments are processed securely via our payment partner. We do not store card details
- Third-party usage charges apply separately — WhatsApp conversation fees (billed by Meta), SMS gateway costs, email credits, and AI provider charges (if you use BYOK) are not included in your plan price and are billed directly by the respective provider
- Subscriptions renew automatically unless cancelled before the next billing date

5. Service Availability
We aim for high availability and take uptime seriously — it's our livelihood too. However, we cannot guarantee uninterrupted service. Planned maintenance, unexpected outages, or issues with third-party providers (Meta, email gateways, hosting) may occasionally affect availability. We'll communicate planned downtime in advance where possible.
6. AI Features
FLO includes optional AI features. When using AI (including BYOK with your own API key), you are responsible for reviewing and approving all AI-generated content before it is sent or published. AI outputs are drafts, not approvals. Your team reviews; your team approves; your business is accountable.
7. Intellectual Property
The FLO platform, brand, and underlying technology remain the intellectual property of Fidus Synergies LLP. Your business data — leads, contacts, content, campaigns — is yours. We don't claim ownership of what you create using FLO.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Fidus Synergies LLP shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability, if any, is limited to the fees paid by you for the relevant billing cycle.
This isn't us being unfair — it's standard for SaaS businesses and protects both parties from disproportionate claims.
9. Modifications
We may update these terms from time to time. If changes are material, we'll notify you via email or an in-app notice. Continuing to use FLO after changes take effect means you accept the updated terms. We'll try not to change things just for fun.
10. Termination
Either party may terminate the relationship. You can cancel anytime. We may suspend or terminate accounts for violations of these terms, non-payment, or misuse — with notice where possible, immediately if required by circumstances (e.g. active harm to other users or platforms).
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Mohali / Chandigarh, Punjab, India.
